Terms of Service

1. About octiv.live
octiv.live is an online platform that helps performing artists (“Artists”) and event venues (“Venues”) find each other and arrange live performance bookings. These Terms of Service (the “Terms”) govern your use of the octiv.live website and any related services we offer (collectively, the “Service”). By creating an account, you agree to these Terms.
2. Geographic scope
octiv.live is currently offered only to residents of the United States, and only outside of the states of California and Colorado. We do not market to or accept users from the European Union, the United Kingdom, Canada, or any other jurisdiction outside the supported areas. By creating an account, you confirm that you are a resident of a supported state and that you are not accessing the Service from outside the United States.
We reserve the right to terminate accounts that we determine, in good faith, are operating from unsupported jurisdictions.
3. octiv.live is not a party to bookings
octiv.live provides software that lets Artists and Venues communicate and reach agreement on performance bookings. Any contract, engagement, or arrangement formed between an Artist and a Venue is solely between those two parties. octiv.live is not a talent agency, a booking agent, an employer, an event producer, or a party to any contract between users.
octiv.live does not guarantee the accuracy of information posted by users, the quality of any performance, the conduct of any Artist or Venue, the suitability of a venue or event, or that any booking will be honored. We do not screen, endorse, or recommend specific Artists or Venues.
4. No liability for disputes
Disagreements, disputes, cancellations, no-shows, payment issues, property damage, personal injury, and any other claim arising out of a booking are between the Artist and the Venue involved. octiv.live is not responsible for resolving such disputes and has no liability for them. We may, at our sole discretion, provide information from our records to help users work through an issue, but we are not obligated to do so.
You agree to release octiv.live, its owners, employees, and affiliates from any claim, demand, or damages (actual or consequential) arising out of or in any way connected with a booking or interaction between users.
5. Taxes are your responsibility
You are solely responsible for determining what taxes apply to payments you send or receive through arrangements made on octiv.live, and for collecting, reporting, and paying the correct amount to the relevant tax authorities. octiv.live does not provide tax advice. If you are unsure of your obligations, consult a qualified accountant or tax professional in your state.
When and if octiv.live begins facilitating payments through Stripe (see Section 6), Stripe may issue tax forms (such as IRS Form 1099-K) where required by law. Receipt of a tax form does not relieve you of any other tax-reporting obligation.
6. Payments are processed by Stripe
octiv.live uses Stripe, Inc. (“Stripe”) as its third-party payment processor for any Service-facilitated payments. By using payment features on octiv.live you also agree to the Stripe Connected Account Agreement, which incorporates the Stripe Terms of Service. octiv.live does not store full payment card details; payment information is handled and stored by Stripe.
At launch, payment features may not yet be active. When they are, octiv.live may charge a platform fee on each transaction. The fee will be disclosed in the booking flow before you confirm a payment.
7. Your account
You must be at least 18 years old to use octiv.live. You agree to provide accurate information when creating an account and to keep that information up to date. You are responsible for keeping your password confidential and for any activity under your account. Notify us promptly if you suspect unauthorized use.
octiv.live may suspend or terminate accounts that violate these Terms, that we reasonably believe pose a risk of harm to other users, or that are inactive for an extended period.
8. Acceptable use
You agree not to use the Service to: (a) post false, misleading, or fraudulent information; (b) impersonate another person or business; (c) harass, threaten, or discriminate against other users; (d) violate any applicable law or regulation; (e) infringe anyone's intellectual property, privacy, or publicity rights; (f) circumvent our verification processes; or (g) interfere with or attempt to compromise the Service.
9. Content you submit
You retain ownership of the photos, videos, audio, descriptions, and other content you upload to octiv.live. By uploading content, you grant octiv.live a non-exclusive, worldwide, royalty-free license to host, display, and reformat that content for the purpose of operating and promoting the Service.
You represent that you have the rights necessary to grant this license, including any rights in third-party material (for example, performance recordings of cover songs).
10. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.
11. Limitation of liability
To the maximum extent permitted by law, octiv.live will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or business interruption, arising out of or in connection with your use of the Service. Our total liability for any direct damages will not exceed one hundred US dollars ($100).
12. Governing law
These Terms are governed by the laws of the State in which octiv.live's operating entity is organized, without regard to conflict of laws principles. Any dispute will be brought in the state or federal courts located in that State, and you consent to the personal jurisdiction of those courts.
13. Changes
We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on the Service. Continuing to use the Service after the changes take effect means you accept the updated Terms.
